By accessing or using MartialBase and MartialBase Pro (collectively, the “Service”), operated by MartialBase (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
MartialBase provides a platform for martial arts schools and businesses to manage their operations, including class scheduling, member management, payment processing, and related services. MartialBase also provides a consumer-facing platform for individuals to discover martial arts schools, book classes, and manage their training profiles.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration. You agree to notify us immediately of any unauthorized use of your account.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Service; (c) interfere with or disrupt the Service or servers connected to the Service; (d) transmit any viruses, malware, or other harmful code; (e) use the Service to send unsolicited communications; or (f) impersonate any person or entity.
Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay the applicable fees. All payments are processed through Stripe and are subject to Stripe's terms of service. Subscription fees are billed in advance on a monthly basis. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. We reserve the right to change our pricing with 30 days' notice.
The Service and its original content, features, and functionality are owned by MartialBase and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit to the Service, but grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with providing the Service.
You are solely responsible for all content that you upload, post, or otherwise make available through the Service. You represent and warrant that you have all rights necessary to submit such content and that it does not violate any third party's rights. We reserve the right to remove any content that violates these terms or that we find objectionable.
The Service integrates with third-party services including Stripe for payment processing, Firebase for authentication and data storage, and Algolia for search. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of any third-party services.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARTIALBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICE; OR (D) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless MartialBase and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party.
We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.
We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new terms.
These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
